1. Acceptance of Terms

By accessing or using the SendQ platform (the "Platform"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Services Provided

The Platform allows Customers to upload subscriber data, manage SMS campaigns, and engage with their End Users. Services are subject to the terms and conditions set forth in this agreement.

3. Customer Responsibilities

  • Compliance: Customers are responsible for ensuring their use of the Platform complies with all applicable laws and regulations, including data protection and anti-spam laws.
  • Subscriber Consent: Customers must obtain the necessary consent from their subscribers before uploading their information and sending SMS messages through the Platform.
  • Accurate Data: Customers are responsible for ensuring the accuracy of the subscriber data they upload to the Platform.
  • Prohibited Uses: Customers may not use the Platform for illegal activities, harassment, or sending unauthorized or inappropriate messages.

4. Fees and Payment

Access to the Platform may be subject to subscription fees or other charges. All payments are non-refundable unless otherwise specified in a written agreement. Late payments may result in service suspension or additional fees.

5. Data Ownership and Privacy

  • Customer Data: Customers retain ownership of the data they upload to the Platform. SendQ acts as a data processor and will use the data solely to provide the agreed-upon services.
  • End User Data: Customers are responsible for protecting the privacy of their End Users' data and must comply with applicable data privacy regulations.

6. Platform Availability

We strive to ensure the Platform is available 24/7 but do not guarantee uninterrupted or error-free service. Scheduled maintenance or unforeseen technical issues may result in temporary outages.

7. Limitation of Liability

To the maximum extent permitted by law, SendQ shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Platform. Our total liability shall not exceed the fees paid by the Customer in the six months preceding the claim.

8. Termination

  • By Customer: Customers may terminate their account at any time by contacting support.
  • By SendQ: We reserve the right to suspend or terminate a Customer's account for violation of these Terms or any misuse of the Platform.

9. Intellectual Property

All intellectual property rights associated with the Platform, including software, trademarks, and content, remain the property of SendQ. Customers are granted a limited, non-exclusive license to use the Platform for its intended purpose.

10. Modifications to Terms

SendQ reserves the right to modify these Terms at any time. Customers will be notified of significant changes, and continued use of the Platform constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Florida, United States. Any disputes arising under these Terms shall be resolved in the courts of Florida, United States.
